A Limited by Guarantee company is one that does not have shareholders or share capital but has members who act as guarantors whose personal liability is limited, very often to as little as £1. This type of company is most commonly used for non-profit making organisations such as club, associations and charities etc. It operates the same as a limited company in most other respects and needs to have Directors and a Registered Office address. Care needs to be taken when incorporating under this method as a charity or community interest company (CIC) as the standard memorandum and articles are likely to need amending. A Limited by Guarantee Company is most suitable for those organisations that are non-profit making. This includes but is not exclusive to:

- Residential Property Management companies
- Membership organisations
Charities and Community Interest Companies (CICs) can also be set up as a Limited by Guarantee Company but we would ask that you contact us to discuss further as the standard memorandum and articles will not be suitable and specific ones will need to be prepared.
In order to create a Limited by Guarantee company you will need to have at least one Director and one guarantor, who can be the same person and needs to be a “natural person”.
The addresses that need to be provided are the same as with a Limited company and includes a Registered Office address and a service address for each of the Directors/Guarantors. These are the addresses which will be on public record. Directors/Guarantors can opt to use a different address to their residential address and this could be the registered office or an alternative as long as they can be contacted there on official company business.
